By creating an account or using the OrderWithEase platform, you (“Tenant”, “you”, “your”, or “restaurant”) agree to be bound by these Terms and Conditions (“Terms”). These Terms form a legally binding agreement between you and VerveDev Inc., governing your use of the OrderWithEase web platform, mobile apps, and related services (collectively, the “Platform”).
If you do not agree to these Terms, you must not use or access the Platform.
For the purposes of this Agreement, a Tenant refers to a business, restaurant, or operator that uses the OrderWithEase Platform to offer online and mobile ordering services to its customers. Tenants may include franchise locations, independent operators, or corporate entities who subscribe to the Platform through an approved onboarding process.
OrderWithEase provides software tools that enable Tenants to:
OrderWithEase provides access to the Platform and related services but does not operate as a food vendor, delivery agent, or financial intermediary beyond facilitating payments through authorized third-party providers.
Upon signing up, you agree to pay the application fee and any additional charges as outlined in the plan you select during registration.
All payments and payouts are processed securely through Stripe Connect or other approved payment processors. OrderWithEase may deduct applicable transaction, application, or service fees as per your agreement before remitting funds.
VerveDev Inc. reserves the right to modify pricing or fee structures at any time with reasonable notice to existing Tenants.
All technology, designs, user interfaces, branding materials, and software components of the OrderWithEase Platform remain the exclusive property of VerveDev Inc.
You are granted a limited, non-exclusive, non-transferable license to use the Platform while your Tenant account remains active.
If you cease using the Platform, OrderWithEase retains ownership of all intellectual property, including but not limited to your app design, domain integration, and any customizations created under our services. You may not copy, reproduce, or use any proprietary software, designs, or code from the Platform without written permission.
As a Tenant, you are solely responsible for:
You acknowledge that OrderWithEase accepts no liability for any loss of revenue, missed orders, downtime, or operational issues resulting from restaurant closures, equipment malfunction, or network interruptions.
OrderWithEase aims to maintain high availability but does not guarantee uninterrupted service. The Platform may experience temporary outages due to maintenance, technical issues, or third-party interruptions (e.g., payment processor downtime).
VerveDev Inc. shall not be held liable for any loss of business, missed orders, or damages caused by downtime, customer nonpayment, or connectivity failures.
To the fullest extent permitted by law, VerveDev Inc. shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to:
The Tenant agrees to indemnify and hold harmless VerveDev Inc. from any claims arising from its operations, customer relationships, or use of the Platform.
You may stop using the Platform at any time without penalty. However:
OrderWithEase reserves the right to suspend or terminate access to the Platform if a Tenant violates these Terms, engages in fraudulent activity, or disrupts platform integrity.
OrderWithEase collects and stores limited business and transactional data for operational purposes. Customer data processed through the Platform remains the property of the Tenant, though VerveDev Inc. may access aggregated or anonymized data for analytics and system improvement.

OrderWithEase reserves the right to update or modify these Terms at any time. Updated Terms will be posted within the Platform or sent to the email address on record. Continued use of the Platform constitutes acceptance of any revised Terms.
These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
Any disputes arising under these Terms shall be resolved in the courts located in Toronto, Ontario.
